2. Website Use
You may use our website for lawful purposes only. You must not:

3. Intellectual Property
All content on this website — including text, graphics, logos, images, and software — is owned by or licensed to Motive Studio Ltd and is protected by UK and international intellectual property laws.
You may view and print pages for personal, non-commercial use. You may not otherwise reproduce, distribute, or create derivative works without our prior written consent.
4. Our Services
Motive Studio provides digital services including web design and development, UX/UI design, SEO, AI integrations, and related services. The specific scope, deliverables, timelines, and fees for any project will be agreed in a separate written Statement of Work or project agreement (“Project Agreement”).
In the event of any conflict, the Project Agreement takes precedence over these general terms.
5. Quotes & Payment
- All quotes are valid for 30 days from the date of issue unless otherwise stated.
- Prices are quoted exclusive of VAT. VAT will be applied at the prevailing UK rate where applicable.
- Payment terms are set out in the Project Agreement. Invoices are typically due within 14 days of the invoice date.
- We reserve the right to suspend work where invoices remain unpaid beyond agreed terms.
6. Client Responsibilities
You agree to:
- Provide accurate, complete, and timely information, assets, and approvals needed to deliver your project.
- Ensure all content and materials you supply do not infringe third-party intellectual property rights.
- Nominate a single point of contact for project decisions.
Delays caused by failure to fulfil these responsibilities may affect timelines and could result in additional charges.
7. Ownership & Licences
Upon receipt of full payment for a project, we assign to you the intellectual property rights in the bespoke elements we created specifically for you, to the extent we are legally entitled to do so.
We retain ownership of any pre-existing tools, frameworks, libraries, or proprietary processes used during delivery. You receive a perpetual, non-exclusive licence to use these as part of your project deliverables.
We reserve the right to display work completed for you in our portfolio unless expressly agreed otherwise in writing.
8. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project and not to disclose it to third parties without prior written consent, except as required by law.
9. Warranties & Disclaimers
We warrant that our services will be delivered with reasonable skill and care. However, we do not warrant that:
- Our website or services will be uninterrupted or error-free.
- Any specific results (e.g. search engine rankings, conversion rates) will be achieved.
Our website and services are provided “as is” to the extent permitted by law. We exclude all implied warranties to the fullest extent permitted by applicable law.
10. Limitation of Liability
To the fullest extent permitted by law, Motive Studio Ltd shall not be liable for:
- Indirect, consequential, or special losses.
- Loss of profits, revenue, business, data, or goodwill.
- Any claim arising from third-party services or content.
Our total aggregate liability to you in connection with any project shall not exceed the total fees paid by you for that specific project in the 12 months preceding the claim.
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
11. Termination
Either party may terminate a project by giving written notice as specified in the Project Agreement. On termination:
- All fees for work completed to the date of termination become immediately payable.
- We will deliver to you any completed work and associated files for which payment has been received.
- Each party will return or destroy the other party's confidential information.
12. Governing Law
These terms and any disputes arising from them are governed by English law. Both parties submit to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to These Terms
We may revise these terms at any time by updating this page. Continued use of our website after changes constitutes acceptance of the revised terms.
